Publisher Addendum

This Publisher Addendum (the "Addendum") adds to the Tydbyts Author Distribution Agreement (the "Agreement") between Tydbyts Media, the operator of tydbyts.com ("Tydbyts," "we," "us"), and a publisher organization that lists works by one or more authors on the Platform (the "Publisher," "you"). Capitalized terms not defined here have the meanings in the Agreement. If this Addendum conflicts with the Agreement, this Addendum controls for publisher accounts.

1. Definitions

1. "Publisher" means the company, imprint, or other organization named in the publisher account, and the person accepting this Addendum on its behalf.
2. "Managed Author" means an author whose Works the Publisher lists on the Platform.
3. "Member" means a person the Publisher adds to its publisher account.
4. "Publisher Works" means all Works the Publisher or its Members list on the Platform.

2. Authority

1. The person accepting this Addendum represents that they are authorized to bind the Publisher to the Agreement and this Addendum, and that the Publisher is validly organized and in good standing.
2. For every Managed Author and every Publisher Work, the Publisher represents that it holds, and will keep while the Work is listed, all rights and permissions needed to list, sell, and license that Work on the Platform as described in the Agreement, including the right to use each Managed Author's name, likeness, and biography.
3. The Publisher will give us written proof of those rights (for example, the relevant publishing contract or a signed authorization) within 10 business days if we ask.

3. The Publisher is the Creator

For Publisher Works, the Publisher is the "Creator" under the Agreement. All of the Creator's promises, warranties, and obligations in the Agreement apply to the Publisher for every Publisher Work, including the Listing Choice and exclusivity rules, the Content Policy, and indemnification.

4. Royalties and payment to authors

1. Royalties on Publisher Works are paid to the Publisher's Stripe Connect account, not to Managed Authors.
2. The Publisher alone is responsible for paying its Managed Authors, contributors, and other rights holders whatever they are owed, for reporting to them, and for any taxes on those payments.
3. Tydbyts has no obligation to any Managed Author for royalties on Publisher Works. A payment to the Publisher's Stripe account fully satisfies our payment obligation for those royalties.

5. Members and roles

1. The Publisher may add Members with one of these roles:
   1. Owner: full control, including billing, payout settings, adding and removing Members, and accepting agreements.
   2. Admin: manages Members, authors, and Works, and may accept agreements on the Publisher's behalf.
   3. Editor: creates and edits Works and author profiles, and submits them for review.
   4. Reports: views sales and royalty reports only.
2. The Publisher is responsible for everything its Members do on the Platform, as if the Publisher had done it, and for removing Members promptly when they should no longer have access.
3. Each Member must have their own individual account and must be at least 18 years old.

6. Author disputes and indemnification

1. If a Managed Author or other rights holder disputes the Publisher's right to list a Work, we may pause or remove the Work and hold the related royalties until the dispute is resolved to our reasonable satisfaction.
2. In addition to the indemnity in the Agreement, the Publisher will defend, indemnify, and hold harmless Tydbyts Media and its owners, officers, employees, contractors, and service providers from any claims, losses, and costs (including reasonable attorneys' fees) arising from any dispute between the Publisher and any Managed Author, contributor, Member, or other rights holder, including claims for royalties, rights, credit, or breach of a publishing contract.

7. Ending the relationship with an author

If the Publisher's rights to a Managed Author's Work end, the Publisher must remove the Work (or ask us to) before its rights end. We are not responsible for sales that happen before a removal request reaches us.

8. Everything else

All other terms of the Agreement, including governing law (Colorado), venue (Denver, Colorado), limitation of liability, and changes, apply to this Addendum.
