Merch Creator Addendum

This Merch Creator Addendum (the "Addendum") adds to the Tydbyts Author Distribution Agreement (the "Agreement") between Tydbyts Media, the operator of tydbyts.com ("Tydbyts," "we," "us"), and a Creator who submits artwork for merchandise ("you"). Capitalized terms not defined here have the meanings in the Agreement. If this Addendum conflicts with the Agreement, this Addendum controls for merchandise.

1. Definitions

1. "Artwork" means designs, illustrations, logos, text, quotes, and other images you submit for use on merchandise.
2. "Merch Product" means a physical product (for example, a shirt, mug, poster, tote, or sticker) that shows your Artwork and is sold on the Platform.
3. "Printify Channel" means the print-on-demand production and fulfillment service Tydbyts uses (currently Printify and its print providers), or any replacement provider we choose.
4. "Color-Fit Standard" has the meaning in Section 4.3.
5. "Net Profit" has the meaning in Section 5.

2. You keep your copyright

You keep ownership of your Artwork. Nothing in this Addendum transfers ownership to Tydbyts.

3. License for merchandise

You give Tydbyts Media a worldwide, non-exclusive, royalty-bearing license during the term of this Addendum to:

1. reproduce your Artwork on Merch Products and send it to the Printify Channel for production and fulfillment;
2. resize, crop, recolor, reposition, or make other technical adjustments needed to print the Artwork well on each product, without changing its substance;
3. create and display mockups and product photos showing your Artwork; and
4. display your Artwork, your creator name, and associated Work titles to market and sell Merch Products.

4. Tydbyts controls products and listings

1. Product decisions. Tydbyts decides which Merch Products to make, which blank products and garments to use, print placement, sizes, and which products to list, pause, or retire.
2. Pricing. Tydbyts sets final retail prices. We may share pricing guidance or ask for your input, but the final decision is ours.
3. Color-Fit Standard. A design is offered only on product and garment colors where it looks good and stays readable. We may limit the colors a design is offered on, decline colors where the design has poor contrast, or require you to provide separate light-garment and dark-garment versions of your Artwork.
4. Mockups and quality. Tydbyts creates the mockups used in listings and may reject Artwork that does not meet our print-quality requirements (for example, resolution, transparency, or file format).
5. Removal. Tydbyts may remove, pause, or stop selling any Merch Product at any time, for any reason.
6. Approval. No Merch Product is public until we approve it.

5. Your share: 50% of Net Profit

1. You earn 50% of Net Profit on each Merch Product sold.
2. "Net Profit" means the price the Customer actually paid for the Merch Product, minus:
   1. the Printify Channel's production cost for the item;
   2. shipping and fulfillment costs we pay for it;
   3. payment processing fees attributable to it; and
   4. sales tax, VAT, and similar taxes.
3. Refunds and replacements. If a sale is refunded, charged back, or reversed, or we replace a damaged, misprinted, or lost item, your share on that sale is reversed, and the cost of any replacement is deducted from Net Profit.
4. If Net Profit on a sale is zero or negative, you earn nothing on that sale (you do not owe us the difference).
5. Your share is paid on the same schedule and terms as royalties under Section 9 of the Agreement (monthly via Stripe Connect, after a 30-day hold, $25 minimum with rollover, with offsets allowed).

6. Artwork warranties

In addition to your promises in the Agreement, you promise that your Artwork:

1. is your original work or you have all rights needed to license it under this Addendum;
2. does not include any trademark, logo, brand, sports team, band, or product name you do not own or have not licensed;
3. does not include the name, image, or likeness of any celebrity or other real person without their written permission;
4. does not include copyrighted characters, fan art of third-party properties, or other third-party content unless you hold a license that covers merchandise; and
5. complies with the Content Policy. Your indemnity obligations in the Agreement apply to Artwork and Merch Products.

7. Ending merch

Either party may end this Addendum with 30 days' notice. Tydbyts may end it immediately under the same conditions as Section 14.3 of the Agreement. Orders placed before removal will still be fulfilled, and you will earn your share on them. Accrued shares are paid under Section 14.6 of the Agreement.

8. Everything else

All other terms of the Agreement, including governing law (Colorado), venue (Denver, Colorado), limitation of liability, indemnification, and changes, apply to this Addendum.
